LEGAL INFORMATION ON BEEDOO SA

1. The purpose of this basic information sheet is to provide users of websites operated by BEEDOO SA and/or prospective investors interested in investment projects with the information required under Art. 8 of the Financial Services Act (FinSA).

2. BEEDOO SA is registered at Chemin des Chaumets 19 B, 1277 Borex (hereinafter: “BEEDOO”).

BEEDOO operates several websites facilitating connections between various project owners and individuals interested in investment opportunities. This platform offers the possibility of exploring a range of investment options, including but not limited to equity stakes in companies, loans, or subscriptions to bonds issued by third-party entities (other than BEEDOO).

3. BEEDOO acts primarily as an intermediary and is remunerated by project owners.

4. Unless a specific dedicated contract has been signed, BEEDOO does not provide financial services: more specifically, unless a specific contract has been entered into with a prospective investor and/or project owner, BEEDOO does not provide the following services: (i) the acquisition and/or disposal of financial instruments (including preparatory acts in view of such acquisition) and/or (ii) the receipt and transmission of orders relating to financial instruments.

5. BEEDOO’s activity is limited to an “offer” within the meaning of the FinSA, to the exclusion of any financial service under the FinSA. BEEDOO has no contractual relationship as investment adviser or asset manager of third-party assets (clients), whether with project owners, website users and/or investors. As such, BEEDOO has no mandate relationship (within the meaning of Art. 394 et seq. of the Code of Obligations) towards project owners, website users and/or investors.

6. With regard to the regulatory framework, any client adviser of BEEDOO is registered in the adviser register maintained by the Association Romande des Intermédiaires Financiers (ARIF) (https://registre.arif.ch/en/registre/). BEEDOO is not authorised by any regulator, nor is it a financial intermediary.

7. BEEDOO is affiliated with the Financial Services Ombudsman (FINSOM) mediation body, which is competent to handle complaints or requests for mediation in civil matters and may be contacted at any time (https://finsom.ch/homepage/mediation-access/).

8. The general risks associated with BEEDOO’s offers in connection with financial instruments are as follows (non-exhaustive list): market risks, reputational risks, risks relating to the issuer, the borrower (project owner), the guarantor, the property market, reclassifications (land use planning), and liquidity risk. This list of risk factors is not exhaustive.

9. The risks associated with bond issuances are set out in the relevant issuance document (provided prior to any subscription).

10. BEEDOO has economic relationships in particular with project owners.

11. For its offering activity on behalf of project owners, BEEDOO receives a commission (determined on a case-by-case basis) from the project owners with whom BEEDOO has entered into commercial agreements.

12. BEEDOO considers a broad range of project offers on the market. This means that any interested project owner, regardless of their field, is free to submit their proposal to BEEDOO. Nevertheless, BEEDOO reserves the right to select its partners and to decline to enter into a contractual relationship with certain project owners and/or users of its websites, based on predefined criteria to ensure the quality and relevance of accepted projects.
